Terms of Service

Important: Please read these Terms carefully before using EventSplit. By creating an account or using our platform, you agree to be bound by these terms. If you do not agree, do not use the platform.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of EventSplit ("eventsplit.ca"), operated by EventSplit ("we," "us," or "our"). By registering an account, accessing, or using any part of the platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to these Terms in full.

If you are using the platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

EventSplit is a project management and financial coordination platform for event organizers, collaborators, and sponsors. The platform provides tools for:

  • Creating and managing event projects
  • Inviting collaborators and defining revenue-share arrangements
  • Tracking budgets, expenses, and projected profit
  • Managing sponsorship packages and deliverables
  • Generating and sending agreement templates
  • Producing financial reports and facilitating payout distribution
  • Building organizer trust scores based on event history and reviews

EventSplit is a software tool only. We do not organize events, employ collaborators, represent sponsors, guarantee event outcomes, or provide legal, financial, tax, investment, or regulatory advice.

3. Accounts and Registration

You must create an account to use most features of the platform. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@eventsplit.ca if you believe your account has been compromised.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in prohibited conduct.

4. Plans and Payments

EventSplit charges a one-time project setup fee per event project. Multiple pricing tiers are available (Starter, Pro, Premium), as well as discounted 5-event bundle packages. All prices are in Canadian dollars (CAD) unless otherwise stated.

Non-refundable fees: Setup fees are non-refundable once your event project has been activated in the platform, regardless of whether the event takes place or generates revenue.

Payment processing: Payments are processed securely through Stripe. EventSplit does not store your credit card information. By completing a purchase, you authorize the charge to your selected payment method.

Taxes: Applicable sales taxes (GST/HST) will be calculated and added at checkout based on your billing location. You are responsible for any other taxes arising from your use of the platform.

Bundle slots: Purchased event project slots never expire and may be used at any time after purchase.

5. Organizer Responsibilities

As an event organizer, you are solely responsible for:

  • The accuracy of all event details, budgets, revenue projections, and expense records entered into the platform
  • Obtaining all necessary permits, licenses, venue agreements, and insurance for your event
  • Complying with all applicable laws, including those governing revenue sharing, employment, securities, and consumer protection
  • Reviewing and customizing any agreement templates before sending them to collaborators or sponsors
  • Ensuring that all collaborators and sponsors understand the terms of their participation before signing
  • Distributing payouts to collaborators in accordance with signed agreements
  • Disclosing the applicable distribution fee to all collaborators before they agree to participate

EventSplit is not a party to any agreement between you and your collaborators or sponsors. Disputes between organizers and collaborators are entirely the responsibility of the parties involved.

6. Collaborator and Sponsor Terms

Collaborators and sponsors who access the platform via an organizer's invitation agree to these Terms as a condition of accessing event project details, signing agreements, or receiving payouts through the platform.

Collaborators acknowledge that revenue-share payouts are not guaranteed and depend on actual event performance, approved expenses, and the terms of the signed agreement. EventSplit makes no representation about the likelihood or amount of any payout.

Sponsors acknowledge that placement and deliverable outcomes are governed solely by the sponsorship agreement between the sponsor and the organizer. EventSplit is not responsible for ensuring deliverable fulfillment.

7. Agreement Templates

EventSplit provides built-in agreement templates (Collaborator Contribution Agreement, Revenue-Share Agreement, Sponsorship Agreement) as a convenience feature only. These templates:

  • Do not constitute legal advice
  • Have not been reviewed or approved by a lawyer for your specific jurisdiction or situation
  • May not be suitable for your particular event, jurisdiction, or arrangement
  • Should be reviewed by a qualified legal professional before use in any live transaction

By using our agreement templates, you acknowledge that EventSplit is not responsible for the enforceability, accuracy, or completeness of any agreement generated through the platform. You use these templates entirely at your own risk.

8. Payouts and Distribution Fees

When an organizer uses EventSplit to transfer payouts to collaborators after an event, a distribution fee (1% Studio · 2% Pro · 3% Starter) is deducted from the event's net profit before collaborator shares are calculated. This fee does not apply if the organizer distributes payouts outside of the platform.

This fee is:

  • Disclosed to the organizer and all collaborators before any agreement is signed
  • Deducted from the distributable amount before payouts are processed
  • Not charged if the organizer processes payouts outside of the platform

Payouts are subject to Stripe's payout schedules and any applicable holds. EventSplit is not responsible for delays caused by Stripe, banks, or other payment processors.

9. Trust Score System

The EventSplit Trust Score is a reputational metric calculated from verifiable platform activity, including completed events, submitted reports, collaborator ratings, and payout punctuality. The following rules apply:

  • Paid promotions (Featured Event placement) do not affect Trust Scores
  • Organizers cannot review themselves
  • Collaborators may only review events they personally participated in
  • Sponsors may only review events they sponsored
  • Each person may submit one review per event
  • Manual admin verification may add verification points but cannot fabricate event history

Trust Scores are informational only and should not be used as the sole basis for any financial decision.

10. Prohibited Conduct

You agree not to use the platform to:

  • Commit fraud, misrepresent event details, or deceive collaborators or sponsors
  • Create fake events, fake reviews, or manipulate Trust Scores
  • Create legally non-compliant or predatory arrangements using agreement templates
  • Collect funds from collaborators with no intent to hold the event
  • Violate any applicable securities, employment, consumer protection, or tax laws
  • Reverse engineer, scrape, or circumvent platform security measures
  • Transmit spam, malware, or unsolicited communications
  • Share your account credentials with others

Violations may result in immediate account suspension, termination, and referral to appropriate authorities.

11. Intellectual Property

The EventSplit platform, including its design, code, agreement templates, and content, is owned by EventSplit and protected by copyright, trademark, and other applicable laws.

You retain ownership of content you upload to the platform. By uploading content, you grant EventSplit a limited, non-exclusive license to store, display, and process that content solely to provide the service to you.

12. Privacy

Your use of EventSplit is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

EventSplit does not warrant that the platform will be uninterrupted or error-free, or that any financial projections or calculations generated by the platform are accurate or suitable for any purpose.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVENTSPLIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST REVENUE, ARISING FROM YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO EVENTSPLIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless EventSplit and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your event activities; (d) any agreement you enter into with a collaborator or sponsor; or (e) your violation of any applicable law.

16. Termination

You may close your account at any time by contacting us at legal@eventsplit.ca. Closing your account does not entitle you to a refund of any setup fees already paid.

We may suspend or terminate your account at any time for conduct that violates these Terms or is harmful to other users. Upon termination, your right to use the platform ceases immediately.

17. Governing Law

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Manitoba, Canada.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date and, for material changes, notify you by email or in-app notice. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
